Welcome to GR-Cadia Inc ("GRCadia," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at grcadia.com (the "Site") and all related services, products, and content (collectively, the "Services").
By accessing or using our Services you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Services.
These Terms are intended for business-to-business (B2B) transactions. By creating an account and completing a purchase you represent that you are acting on behalf of a business or organization in a commercial or professional capacity and not as an individual consumer.

2. Account Registration
To purchase Products you must create an account by providing your full name, business email address, company or organization name, and country. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
By providing a company or organization name at registration you confirm you are acting in a commercial or professional capacity and that your purchases are for business use.
You must notify us immediately at support@grcadia.com if you become aware of unauthorized use of your account. We are not liable for loss or damage arising from unauthorized access you fail to report.
3. Products and Licensing
3.1 Nature of Products
All Products are digital documents — Word documents, Excel spreadsheets, and PDF guides — designed as customizable starting points for your organization's compliance program.

They are tools to assist your compliance efforts — not a guarantee of compliance with any law, regulation, standard, or framework. You are solely responsible for: (a) determining the suitability of any Product for your specific requirements; (b) ensuring your compliance program meets applicable regulatory standards; (c) engaging qualified legal and compliance professionals to review and validate your use of the Products; and (d) any decisions made based on or in connection with the Products. GR-Cadia Inc expressly disclaims any liability for your reliance on the Products without independent professional verification.
You remain solely responsible for ensuring that any customized document meets your legal obligations.
3.2 License Grant
Upon completing a purchase GRCadia grants you a non-exclusive, non-transferable, non-sublicensable, perpetual licence to use the purchased Products subject to these conditions:
- Internal Use Only — You may use, modify, and customize the Products solely for the internal business purposes of the single organization identified at registration.
- Single Organization — Each licence covers one (1) organization. Affiliated entities, subsidiaries, or parent companies require separate licences.
- No Resale or Redistribution — You may not sell, sublicence, publish, share on public repositories, or otherwise distribute the Products or derivative works to third parties.
- No Competing Products — You may not use the Products as the basis for a competing commercial product or service.
- Third-Party Sharing — You may share purchased Products with external auditors, consultants, or advisors solely for the purpose of assisting your organization's compliance program, and only under a fully executed non-disclosure agreement (NDA) that protects GR-Cadia Inc's intellectual property. You remain responsible for any breach by such third parties.
- No Public Distribution — You may not post, publish, share, or make Products available on any public website, repository, forum, file-sharing service, or any platform accessible to unauthorized users.
3.3 Licence Revocation
We reserve the right to revoke your licence if you breach any of these Terms, including unauthorized redistribution of our Products. Upon revocation you must destroy all copies in your possession.
4. Pricing, Taxes, and Payment
4.1 Currency and Pricing
All prices are displayed in United States Dollars (USD) unless otherwise indicated. Prices are subject to change without notice; however, any price change will not affect Orders already completed.
4.2 Taxes — Canada
Customers located in Canada will be charged applicable Goods and Services Tax (GST), Harmonized Sales Tax (HST), or Provincial Sales Tax (PST) as required by federal and provincial tax legislation. The applicable tax will be calculated and displayed at checkout based on your province or territory.
4.3 Taxes — International
For customers outside Canada, you are responsible for determining and remitting any applicable taxes, duties, or levies in your jurisdiction. GRCadia does not collect foreign sales tax, VAT, or GST on international orders unless required by law.
4.4 EU / UK VAT
If you are a VAT-registered business in the European Union or United Kingdom, the reverse-charge mechanism applies. You must provide a valid VAT identification number at checkout and are responsible for self-assessing and remitting VAT under the reverse-charge rules of your jurisdiction. GRCadia may verify your VAT number using the EU VIES system or HMRC VAT checker.
4.5 Payment Processing
All payments are processed securely by Stripe, Inc., a PCI DSS Level 1 certified payment processor. GRCadia does not store, process, or have access to your full credit card details. By completing a purchase you also agree to Stripe's terms of service.
5. Digital Product Delivery
Products are delivered electronically immediately upon successful payment. You will receive a confirmation email with download instructions, and Products will be accessible from your account dashboard under "My Downloads."
Because Products are digital in nature and delivered instantly, you acknowledge that delivery is complete upon the Product being made available for download, regardless of whether you actually download it.
6. Refunds and Cancellations
Due to the immediate digital delivery of our Products, all sales are final. Please review all product descriptions carefully before purchasing. At checkout you will be required to confirm that you have reviewed the product description.
Limited exceptions apply as described in our Refund Policy. This no-refund policy is permissible under Ontario law for B2B digital product transactions where the product is delivered immediately and the buyer has been clearly informed prior to purchase.
7. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, icons, Product templates, code, and documentation — is the property of GR-Cadia Inc and is protected by Canadian and international copyright, trademark, and intellectual property laws.
Your licence to use purchased Products does not transfer ownership of any intellectual property. GRCadia retains all rights, title, and interest in and to the Products.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to any part of the Services or any system or network connected to the Services.
- Interfere with or disrupt the Services or the servers or networks that host them.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Scrape, data-mine, or use automated means to access the Services without our prior written consent.
- Upload, submit, or input any Product content — in whole or in part — into any artificial intelligence (AI) system, large language model (LLM), machine learning tool, chatbot, or similar technology, whether for training, fine-tuning, prompt engineering, content generation, or any other purpose.
- Use any Product as training data, reference material, or input for any AI or machine-learning model or service, including but not limited to OpenAI, Google, Meta, Anthropic, or any other provider.
- Misrepresent your identity or organizational affiliation.
9. Disclaimers and Limitation of Liability
9.1 "As Is" Disclaimer
THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GRCadia does not warrant that the Products will meet your specific regulatory requirements or guarantee compliance with any law, regulation, or standard.
9.2 Professional Advice Disclaimer
Products are educational and informational templates only. They are not a substitute for qualified legal, accounting, security, or compliance advice. You should consult qualified professionals before relying on any Product to meet regulatory obligations.
9.3 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GR-CADIA INC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, ANY PRODUCT, OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO GR-CADIA INC FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
9.4 Exclusion of Consequential Damages
IN NO EVENT SHALL GR-CADIA INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PRODUCTS OR SERVICES, EVEN IF GR-CADIA INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless GR-Cadia Inc and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Services or Products; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claim that your use or customization of a Product caused damage to a third party.
11. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
12. Electronic Communications (CASL)
GRCadia complies with Canada's Anti-Spam Legislation (CASL). We will send you transactional emails related to your account and purchases (order confirmations, download links, security notifications). These are exempt from CASL consent requirements as they relate directly to an existing business relationship.
We will only send marketing or promotional emails if you have provided express consent (opt-in). Every marketing email will include our sender identification, physical business address, and a working unsubscribe mechanism. You may withdraw consent at any time by clicking "Unsubscribe" or emailing support@grcadia.com.
Unsubscribe requests are processed within ten (10) business days as required by CASL.
13. Force Majeure
GRCadia shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, power failures, internet disruptions, cyberattacks, or failures of third-party service providers.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may submit the dispute to binding arbitration administered by the ADR Institute of Ontario under its Arbitration Rules, to be conducted in Ontario, Canada, in English. The decision of the arbitrator shall be final and binding.
Nothing in this section shall prevent either party from seeking injunctive or equitable relief from a court of competent jurisdiction in Ontario, Canada, for the protection of intellectual property rights.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Site with a revised "Last updated" date and, where practical, by email notification. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and GR-Cadia Inc with respect to the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
